1. Independent contractor
Naloj provides strategy, design, technology, automation, and implementation services as an independent contractor — not as an employee, partner, or joint venturer of the client.
2. Written proposal and statement of work
Each engagement is defined in an applicable Statement of Work. A client may have more than one SOW over time (for example, a website, then SEO, then a custom system). Work described in a new SOW is a separate engagement unless the parties agree otherwise in writing.
3. Scope of work
Naloj provides only the digital services and deliverables expressly described in the applicable SOW. Any feature, functionality, integration, revision, content, or service not included in the SOW is outside the agreed scope.
4. Change requests
Requests that materially change the approved scope, design, functionality, technology, integrations, or deliverables are change requests. They may result in additional fees and/or a revised timeline. Additional work is not required until both parties approve the change in writing.
5. Fees and payment
Professional fees, payment milestones, and methods are set out in the applicable SOW. Typical project work is billed in stages (for example, commencement, staging, and final delivery). Final deliverables, source code, credentials, deployment access, and intellectual property subject to transfer are released upon full settlement of all amounts due.
6. Intellectual property
Upon full payment, the client receives the rights to the custom deliverables identified in the applicable SOW — such as a website, custom application, UI designs, database structures, custom source code, and documentation created specifically for that client.
Naloj retains all rights to pre-existing materials, reusable components, libraries, frameworks, tools, methodologies, templates, know-how, and general-purpose code used in performing the services.
7. Hosting and third-party services
Third-party services, subscriptions, hosting, domain registration, API usage, licenses, plugins, payment processing fees, and other external costs are not included unless expressly stated in the SOW. The client is responsible for those recurring costs.
8. Maintenance and support
A bug is something that does not work according to the approved specification. Bugs attributable to Naloj’s implementation are corrected without additional development fees during the applicable warranty period.
New functionality, enhancements, redesigns, integrations, or changes in business requirements are additional work, not included in bug-fix support.
9. Client responsibilities
The client provides materials, information, access, and timely decisions needed to perform the work. That may include logos, images, copy, business information, API credentials, domain and hosting access, social account access, payment gateway details, approvals, and feedback.
Delays caused by the client’s failure to provide required materials, information, access, decisions, or approvals may extend the project timeline accordingly.
10. No guaranteed business results
Naloj performs the services professionally and in accordance with the agreed scope. Unless expressly stated otherwise in writing, Naloj does not guarantee specific revenue, sales, traffic, rankings, conversion rates, customer acquisition, or other business outcomes.
11. Confidentiality
Client credentials, business information, source code, and customer data shared for the project are treated as confidential and used only to perform the services.
